Dental implant manufacturer ZimVie has entered an agreement to merge its operations with Archimed, a healthcare-focused private equity firm.

Five notes:

1. ZimVie was a spine and dental spinoff of Zimmer Biomet. The company opted in 2023 to sell its spine business to focus on the dental implant market.

2. ZimVie reported a net loss of $9.7 million in the fourth quarter of 2024, an improvement over the $22.2 million net loss the company had in the fourth quarter of 2023.

3. Archimed will acquire the company for $730 million, with each ZimVie stockholder receiving $19 in cash for each share of ZimVie common stock outstanding at the transaction’s closing, according to a July 21 news release.

4. ZimeVie’s board of directors unanimously approved the transaction, which is expected to close by the end of this year.

5. ZimVie reportedly began weighing its options for a sale in June 2024. South Korea-based Osstem Implant Co. submitted a final bid in July 2024.
